VIRSE Terms of Service

These Terms of Service ("Terms") govern your access to and use of VIRSE, an AI creative infrastructure platform operated by Virse Labs Inc. ("VIRSE," "we," "us," or "our"). VIRSE provides tools for generating, editing, organizing, and collaborating on creative content across text, image, video, 3D, vector, and related formats.
By using VIRSE, creating an account, starting a subscription, or accessing any part of our platform, you agree to these Terms. If you are using VIRSE for a company or other organization, you confirm that you have authority to bind that organization.
These Terms should be reviewed by counsel before publication.
1. The Service
We may add, remove, suspend, limit, or modify features, models, workflows, integrations, pricing, or usage limits from time to time as part of operating and improving the Service.
Some parts of the Service may depend on third-party infrastructure, model providers, APIs, cloud services, payment processors, or software. Their terms and technical limitations may apply to your use of those parts of the Service.
2. Accounts
You may need an account to use the Service. You agree to provide accurate account information, keep your credentials secure, and take responsibility for activity under your account.
You may not share, resell, rent, or transfer account access unless we authorize it in writing or your plan expressly allows team use.
We may suspend or terminate access if we believe your account is being misused, creates risk for VIRSE or others, violates these Terms, violates law, or interferes with the Service.
3. Acceptable Use
You are responsible for how you use VIRSE and for the content you submit, generate, publish, export, or share.
You may not use the Service to:
- Violate law or third-party rights.
- Upload, generate, or distribute unlawful, infringing, deceptive, harmful, abusive, or exploitative content.
- Misrepresent the source, ownership, approval, or authenticity of content.
- Attempt to bypass usage limits, billing controls, safety systems, or access restrictions.
- Scrape, crawl, copy, reverse engineer, attack, disrupt, or overload the Service.
- Use the Service in a way that creates legal, security, privacy, or operational risk for VIRSE, other users, or third parties.
We may remove content, restrict features, or disable accounts when necessary to protect the Service, comply with law, or enforce these Terms.
4. Your Content
"Input" means prompts, files, images, video, audio, text, data, references, instructions, and other material you submit to the Service. "Output" means content generated by the Service in response to your Input. Input and Output together are "User Content."
You keep ownership of your Input. As between you and VIRSE, you own the Output generated for you by the Service. To the extent VIRSE has any rights in that Output, we assign those rights to you, subject to these Terms, applicable law, your payment obligations, and any third-party terms that apply to the models or tools used.
You are responsible for making sure you have the rights needed to submit Input and use Output. VIRSE does not guarantee that Output is unique, non-infringing, commercially usable, accurate, or suitable for your intended purpose.
5. License to VIRSE
You grant VIRSE a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, modify for technical purposes, and otherwise use User Content as needed to:
- Provide, operate, and support the Service.
- Maintain security, reliability, billing, and abuse prevention.
- Troubleshoot, analyze, improve, and develop the Service.
- Comply with law and enforce these Terms.
This license does not transfer ownership of your User Content to VIRSE.
6. AI Output and Review
AI systems are probabilistic and may produce Output that is inaccurate, incomplete, biased, unexpected, offensive, similar to content generated for others, or inconsistent with your instructions.
You should not treat Output as legal, financial, medical, professional, factual, or rights-clearance advice. You are responsible for human review before relying on Output, publishing it, using it commercially, or using it in decisions that may affect people, property, legal rights, finances, reputation, safety, or regulated activities.
VIRSE may use third-party models or tools. We do not control all third-party systems, training data, safety behavior, or generated results.
7. Paid Plans, Billing, and Auto-Renewal
Some features require payment. Paid plans, usage credits, subscriptions, limits, and prices will be shown at checkout, in your account, or in an order form.
Payments are processed through Stripe or another payment processor we select. By purchasing a paid plan or usage package, you authorize us and our payment processor to charge your payment method for applicable fees, taxes, renewals, overages, and other charges described at checkout or in your order.
If your plan renews automatically, it will continue renewing until you cancel. You can cancel through your account settings or another cancellation method we provide. Cancellation takes effect at the end of the then-current billing period unless we state otherwise.
You must keep billing information accurate and up to date. We may suspend or limit paid features if payment fails.
8. Refunds
Except where required by law or expressly stated by VIRSE in writing, fees already paid are non-refundable. We generally do not provide prorated refunds for unused time, unused credits, partial billing periods, downgrades, or account termination.
If we issue a refund, we may do so through the original payment method or another method permitted by our payment processor.
9. Privacy
Your use of VIRSE is also subject to our Privacy Policy. The Privacy Policy explains how we collect, use, and share information. If there is a conflict between these Terms and the Privacy Policy about data handling, the Privacy Policy controls for that issue.
10. Intellectual Property
VIRSE and its software, interface, designs, models, systems, workflows, documentation, names, logos, and other platform materials are owned by VIRSE or its licensors. These Terms do not give you ownership of the Service or any VIRSE intellectual property.
You may use the Service only as allowed by these Terms and your plan. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative services from VIRSE except as expressly permitted.
Feedback is voluntary. If you give us ideas, suggestions, or comments, we may use them without restriction or compensation.
11. Service Availability
We work to keep VIRSE useful and reliable, but we do not promise uninterrupted availability. The Service may be unavailable, delayed, limited, or degraded because of maintenance, product changes, capacity limits, third-party failures, security issues, legal requirements, or events outside our reasonable control.
12. Termination
You may stop using VIRSE at any time. You may also request account deletion through the process we provide.
We may suspend or terminate your access if you breach these Terms, fail to pay, create risk for the Service, or if we decide to discontinue the Service or a material part of it.
Termination does not cancel payment obligations already incurred. Sections that by their nature should survive will survive, including ownership, licenses, disclaimers, liability limits, indemnity, and dispute terms.
13. Disclaimers
VIRSE is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not promise that the Service or Output will meet your requirements, be error-free, be secure, be uninterrupted, or be free from harmful components.
14. Limitation of Liability
To the fullest extent permitted by law, VIRSE will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, lost data, substitute services, or business interruption.
To the fullest extent permitted by law, VIRSE's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:
- The amounts you paid or owed to VIRSE for the Service in the twelve (12) months before the event giving rise to the claim; or
- USD $100.
15. Indemnity
You agree to defend, indemnify, and hold harmless VIRSE and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms or law.
- Your infringement or alleged infringement of third-party rights.
16. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Except where applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California. You and VIRSE consent to personal jurisdiction and venue in those courts.
To the fullest extent permitted by law, disputes must be brought only on an individual basis, and not as a class, collective, consolidated, private attorney general, or representative action. To the fullest extent permitted by law, you and VIRSE waive the right to a jury trial.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another reasonable method. Continued use after the updated Terms take effect means you accept the updated Terms.
